Welcome to CareIQ Assist! These Terms of Service ("Terms") govern your access to and use of the website located at www.careiqassist.com and all related services (collectively, the "Website" or "Services") provided by CareIQ Assist LLC ("Company," "we," "us," or "our").
These Terms apply only to users located in the United States.
By accessing or using the Website or Services, you agree to be bound by these Terms and all applicable policies referenced herein, including our Privacy Policy. If you do not agree to these Terms, do not use our Website or Services.
1. Acceptance of Terms
By using the Website or Services, you accept and agree to be bound by these Terms and all applicable policies, including our Privacy Policy. Your continued use of the Website constitutes your ongoing acceptance of any updates to these Terms.
2. User Eligibility
To use the Website or Services, you must be at least 18 years of age and have the legal capacity to enter into a binding contract under applicable law. If you are under 18, parental or legal guardian consent is required prior to use.
3. Services Provided
CareIQ Assist LLC is a virtual staffing intermediary and digital services provider. Our Services include:
- Placement of Philippines-based virtual assistants and virtual medical assistants with United States businesses
- Access to and setup of the CareIQ Assist CRM platform
- CRM buildout, automation, and AI integration services
- Website design, development, and maintenance
- Graphic design, social media management, and video editing services
- Administrative and backend operational support
You agree to use the Website and Services only for lawful purposes and in compliance with these Terms and all applicable federal, state, and local laws and regulations.
4. Intermediary Status
CareIQ Assist operates as a commercial intermediary and service administrator. CareIQ Assist is not an employer of record for any virtual professional placed with a client. Any virtual professional made available through our Services performs work for and under the direction of the client, and the client retains primary responsibility for directing, supervising, and controlling that professional's day-to-day work.
Nothing in these Terms or in any related agreement creates an employment, partnership, joint venture, or agency relationship between CareIQ Assist and any client, or between a client and any virtual professional.
5. Professional Services Disclaimer
Virtual professionals placed through CareIQ Assist provide administrative, operational, and business support services only. They do not provide insurance advice, financial advice, legal advice, tax advice, or medical advice, and they do not perform any service requiring professional licensure or regulated advisory authority.
Clients are solely responsible for ensuring that any task assigned to a virtual professional falls within permissible scope and complies with all applicable licensing and regulatory requirements.
6. Service Agreements
Specific engagements are governed by a separately executed service agreement, master service agreement, or subscription agreement between CareIQ Assist and the client. Those agreements set out scope, fees, term, and termination provisions. In the event of any conflict between these Terms and a signed service agreement, the signed service agreement shall control with respect to that engagement.
7. Account Registration
Certain features of the Website and the CareIQ Assist CRM platform require account registration. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your information to keep it accurate and complete
- Maintain the confidentiality of your account credentials
- Enable and maintain multi-factor authentication where required
- Notify us immediately of any unauthorized use of your account
You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information, or where credible evidence of a security breach or negligent credential handling is identified.
8. Cookies
The Website uses cookies to help personalize your online experience and support Website functionality. By accessing the Website, you agree to the use of required cookies necessary for the operation of the Website. You may accept or decline optional cookies through your browser settings. 9. Intellectual Property and License

You must not:
- Copy, reproduce, duplicate, or republish any material from the Website

11. Non-Solicitation
Clients agree not to directly solicit, hire, retain, or engage any virtual professional introduced by CareIQ Assist outside of an active CareIQ Assist agreement, without prior written consent. The specific restricted period, buyout terms, and remedies applicable to each engagement are set out in the applicable signed service agreement.
12. Payment and Billing
If you purchase paid services or subscriptions, you agree to provide accurate and complete billing information. Payments will be processed according to the pricing and terms set out in your service agreement or displayed at the time of purchase. By completing a purchase, you authorize CareIQ Assist LLC or its authorized payment processor to charge your designated payment method.
All fees are stated in U.S. dollars. You are responsible for all applicable taxes associated with your purchase. Certain third-party costs, including SMS carrier fees, phone number provisioning, and platform usage charges, are separate from CareIQ Assist service fees and are the sole responsibility of the client.
13. Text Message and SMS Communications (A2P / TCPA / CTIA Compliant)
13.1 Consent to Receive SMS Messages
By providing your mobile phone number and opting in through our Website or any opt-in form, you expressly consent to receive text messages (SMS/MMS) from CareIQ Assist LLC. These messages may include appointment reminders, onboarding updates, service notifications, and promotional content where permitted.
Consent to receive text messages is not a condition of purchase or use of our Services.
13.2 Message Frequency
Message frequency may vary based on your interaction with our Services.
13.3 Message and Data Rates
Standard message and data rates may apply depending on your mobile carrier and plan.
13.4 How to Opt Out
You may opt out of receiving text messages at any time by replying STOP to any message you receive from us. After opting out, you will receive one final confirmation message. No further messages will be sent following that confirmation.

13.6 No Sharing of Mobile Information
No mobile information, including phone numbers, SMS opt-in data, or consent records, will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will never be shared with any third party.
14. Client Data and Confidentiality
CareIQ Assist will never use client data, contact records, or customer information for demonstration, example, or marketing purposes, and will never share such data with any other client or third party without express written consent, except as required by law.
Clients retain full ownership of all data stored within their CRM workspace. CareIQ Assist accesses client data solely to deliver the agreed services. These obligations carry no expiration date and remain in effect after termination of any engagement.
15. Third-Party Links and Platforms
The Website and Services may contain links to, or integrate with, third-party websites, platforms, and service providers. CareIQ Assist is not responsible for the content, privacy practices, availability, or activities of any third-party service. We encourage you to review the terms and privacy policies of any third-party service you use.
CareIQ Assist shall not be liable for service disruptions, data loss, or feature unavailability caused by third-party carriers, hosting providers, or external platforms outside our direct control.
16. Privacy Policy
Your use of the Website and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and protection of your personal information.
17. Termination
We reserve the right to suspend or terminate your access to the Website or Services at any time, without prior notice, if we believe you have violated these Terms or engaged in harmful, fraudulent, or unlawful conduct. Upon termination, your right to use the Website and Services will immediately cease.
Termination of Website access does not affect the terms of any separately executed service agreement, which governs its own termination provisions.
18. Disclaimer
To the maximum extent permitted by applicable law, CareIQ Assist LLC excludes all representations, warranties, and conditions relating to the Website and its use. We do not warrant that the information on the Website is accurate, complete, or up to date, or that the Website will remain continuously available.
CareIQ Assist does not guarantee specific business outcomes, lead conversion rates, revenue results, or search engine rankings.
Nothing in this disclaimer will limit or exclude liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully limited or excluded.
19. Limitation of Liability
To the fullest extent permitted by applicable law, CareIQ Assist LLC and its officers, employees, affiliates, agents, and partners shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Website or Services, even if advised of the possibility of such damages.
20. Indemnification
You agree to indemnify, defend, and hold harmless CareIQ Assist LLC, its officers, employees, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Website or Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
21. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles.
In the event of a dispute, the Parties shall first attempt resolution through good-faith negotiation for a period of thirty (30) days. If unresolved, the dispute shall be submitted to non-binding mediation before either party may initiate legal proceedings. Venue for any legal action shall be the state or federal courts located in Hillsborough County, Florida.
22. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any executed service agreement, constitute the entire agreement between you and CareIQ Assist LLC.
- Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any provision shall not constitute a waiver of the right to enforce it in the future.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
- Electronic Signatures: Electronic signatures and acceptances shall be deemed valid and binding under the Electronic Signatures in Global and National Commerce Act.
23. Changes to These Terms
We reserve the right to modify or update these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Website or Services after any changes are posted constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
